Events Policy: Graxe & Table and Graxe Xperiences

Effective date: August 14, 2026 · This Policy governs every in-person event Graxe arranges, including Graxe & Table dinners and all Graxe Xperiences (each, an "Event").

Graxe chooses who is invited. Everything that happens in the room belongs to the venue, and everything you do with your body belongs to you. This document says so precisely, because the moment to be clear about that is now and not afterwards.

1. What this Policy covers

This Policy applies whenever you book, attend, or travel to or from an Event. It is part of, and additional to, our Terms of Service and Privacy Policy. Where this Policy and the Terms both address a subject, this Policy governs for Events. Everything in the Terms that is not addressed here continues to apply, including the arbitration agreement, the class action waiver, and the limitation of liability.

You accept this Policy when you book your first Event. Booking any later Event confirms your acceptance of the version in force on the day you book.

2. What Graxe does, and what Graxe does not do

GRAXE CURATES. GRAXE DOES NOT OPERATE VENUES, PROVIDE FOOD OR DRINK, SUPPLY EQUIPMENT, INSTRUCT, COACH, SUPERVISE, OR PROVIDE SECURITY, FIRST AID, OR MEDICAL CARE OF ANY KIND.

What Graxe does is decide who is invited and reserve the table, the tee time, the court, or the booking. That is the whole of our role.

Everything else at an Event is provided and controlled by an independent venue, host, instructor, or partner: the premises, the food, the drink, the equipment, the playing surface, the staffing, the supervision, the security, the first aid provision, and compliance with health, safety, licensing, hygiene, and accessibility law. Graxe does not own, operate, lease, staff, license, inspect, audit, or supervise any of them, is not present in any capacity of responsibility, and has no ability to control the condition of a venue or what happens inside it.

No employment or agency. Venues, hosts, instructors, coaches, guides, drivers, and partners are independent third parties. They are not employees, agents, partners, or representatives of Graxe, and Graxe is not responsible for their acts or omissions. Other attendees are members, not our staff, and nothing they say or do is attributable to us.

3. Booking, prices, and what your money buys

Cover charges. For a Graxe & Table dinner you pay a cover charge to Graxe. The cover charge pays for assembling the table and holding your seat. It is not payment for food, drink, equipment, instruction, entry, or any other goods or services.

Graxe Xperiences are priced individually. What the price includes is stated on the Event before you book. Anything not stated is not included.

Your own bill. Food and drink are not included in any cover charge. You order directly from the venue and settle your own bill with the venue at the end of the evening. Where an Event involves green fees, court hire, equipment rental, entry fees, instruction, transport, or any other charge levied by the venue or partner, that charge is yours unless the Event says in writing that it is included.

Estimates are estimates. Where we show an expected price range, it is drawn from the venue's published prices and is a guide to help you budget. It is not a quote, and we are not responsible for what a venue charges on the day.

Payment. Cover charges and Event prices are payments for services delivered in person. They are charged by Graxe through our payment processor, not through an app store, they are separate from any membership, and app store refund policies do not apply to them. Graxe does not receive or store your full card number.

Taxes and gratuities. Any tax, service charge, or gratuity applied by a venue to your own bill is yours.

4. Cancellation, changes, and non-attendance

CANCEL MORE THAN 24 HOURS BEFORE AN EVENT AND YOUR COVER CHARGE IS REFUNDED. WITHIN 24 HOURS IT IS NOT REFUNDABLE.

The reason is not arbitrary. A table is assembled around the people who said yes. Inside 24 hours the seat cannot be filled, the reservation cannot be resized, and the work of building that table has already been done. That is what the cover charge paid for, and it has been spent.

Cancel through the app. Cancellations take effect when we receive them, not when you decide.

Non-attendance. If you do not attend and did not cancel, your cover charge is not refunded.

Repeated non-attendance. Holding a seat and not appearing costs the table its size and costs another member the place. If you repeatedly book and do not attend, we may decline to offer you further seats.

If Graxe cancels. If we cancel an Event, or cannot hold it, your cover charge is refunded in full. That is the limit of what we owe you. We are not responsible for travel, accommodation, time off work, childcare, or any other cost or arrangement you made around the Event.

Changes. Venues, timings, formats, and the identity of the venue may change. We will tell you what we know as soon as we know it. A change of venue, time, or format is not a cancellation and does not create a refund right, though you may cancel under this Section if the change is more than 24 hours away.

Events beyond anyone's control. If an Event cannot proceed because of weather, natural disaster, fire, flood, power failure, strike, transport failure, civil disorder, terrorism, epidemic, public health order, government action, venue closure or insolvency, or any other cause outside our reasonable control, we will refund your cover charge and will have no further liability to you.

5. Who may attend

Your seat is yours alone. Except under the guest pass below, you may not bring a guest, a partner, a friend, a child, or anyone else who has not been seated at that Event by Graxe. Everyone at a Graxe Event has been verified. Turning up with someone who has not been puts an unverified stranger in front of people who agreed to meet members, and we will refuse them at the door.

The Platinum guest pass. A member holding a Platinum Key may bring one guest to one Event per calendar quarter, on these conditions, all of which must be met:

What the pass covers, and does not. The guest pass covers your guest's cover charge for that Event. Your guest settles their own bill at the venue in the usual way. A guest is not a member: they receive no introductions, no profile, no key, and no access to anything else in the Service, and attending does not put them in front of the matching we do for members.

The pass is one per quarter, does not accumulate, cannot be carried into the next quarter, and cannot be given, sold, or transferred to anyone else. It is available only while your Platinum Key is active.

You must be 18 or over, as required by the Terms. Some Events may carry a higher minimum age set by the venue or by law, which we will state on the Event.

Attendance is not an endorsement. Graxe verifies that members are who they say they are. We do not vouch for anyone's character, conduct, honesty, or safety, and seating someone at your table is not a representation about them. The safety disclosure in Section 2 of the Terms applies in full at every Event.

We may decline to seat you at any Event, or remove you from one, where we consider it necessary to protect other members, a venue, or the house.

6. Physical activity: risk, fitness, and your own limits

SOME GRAXE XPERIENCES INVOLVE PHYSICAL ACTIVITY. PHYSICAL ACTIVITY CARRIES A REAL RISK OF SERIOUS INJURY AND DEATH. GRAXE PROVIDES NO MEDICAL SCREENING, NO SUPERVISION, NO INSTRUCTION, NO EQUIPMENT, AND NO FIRST AID. IF YOU TAKE PART, YOU DO SO ENTIRELY AT YOUR OWN RISK.

What this covers. Physical Events include, without limitation, racquet sports such as pickleball, padel, and tennis; golf; hiking and walking; running; cycling; climbing; equestrian activity; watersports and swimming; snow sports; fitness classes, yoga, and training sessions; dance; and any other Event involving physical exertion, movement, equipment, or a playing surface.

Risks you accept. You understand and accept that these activities carry inherent risks that cannot be designed away, that no precaution eliminates, and that you are choosing to take on. They include, without limitation:

You confirm you are fit to take part. By booking a physical Event you represent that you are in good health and physically able to take part safely, that you have no medical condition, injury, disability, or pregnancy that makes participation unsafe or inadvisable, and that you have consulted a physician if you have any reason at all to be uncertain. Graxe asks no health questions, keeps no health records, and performs no fitness assessment. We rely entirely on your own judgement about your own body.

You set your own limits. You decide how hard to go, whether to continue, and when to stop. Stop immediately if you feel unwell, faint, short of breath, or in pain, and seek help. No part of any Event is compulsory, and nobody at Graxe will ever expect you to push past what you judge to be safe.

Equipment and instruction are not ours. Any equipment used at an Event is supplied by you, by the venue, or by a partner, and is inspected and maintained by whoever supplies it. Any instruction, coaching, guiding, refereeing, or supervision is provided by an independent third party under its own terms and insurance. Graxe supplies none of these, checks none of them, and is not responsible for them.

Alcohol and activity. Do not take part in a physical Event under the influence of alcohol, cannabis, or any drug or medication that impairs judgement, balance, coordination, or reaction. Where an Event includes both activity and drinks, the activity comes first and your own good sense governs the rest.

Emergency care. If you are injured and cannot consent for yourself, you authorise the venue, a partner, another attendee, or emergency services to arrange whatever medical assistance they judge necessary. Any cost of ambulance, treatment, hospitalisation, or repatriation is yours. Graxe does not arrange, pay for, or reimburse medical care.

Insurance is yours. Graxe provides no accident, health, disability, life, travel, equipment, or property insurance for any attendee. Whether you carry insurance, and what it covers, is your responsibility. We recommend you check before you book a physical Event.

7. Food, drink, allergies, and alcohol

GRAXE DOES NOT COLLECT, PASS ON, VERIFY, OR ACCOMMODATE ALLERGIES OR DIETARY REQUIREMENTS. IF YOU HAVE AN ALLERGY OR ANY DIETARY OR MEDICAL NEED, YOU MUST RAISE IT DIRECTLY WITH THE VENUE AND ITS STAFF WHEN YOU ORDER. DO NOT RELY ON GRAXE.

Graxe does not prepare, cook, handle, serve, or select food or drink. We cannot and do not make any representation about ingredients, preparation, cross-contamination, hygiene, or the accuracy of any menu or allergen statement. Those are the venue's, and the venue is the only party that can answer for them.

Alcohol. Graxe does not sell, serve, supply, or license alcohol. Any alcohol at an Event is sold by the venue under its own licence and served at the venue's discretion. What you choose to drink, and its consequences, are yours. Drink responsibly, arrange your way home before you need it, and never drive after drinking.

8. Getting there and getting home

Travel to and from an Event is your own arrangement and your own risk, by whatever means you choose. Graxe does not arrange, book, provide, vet, or pay for transport, parking, or accommodation, and is not responsible for delay, breakdown, accident, or anything that happens on the way.

9. Conduct at Events

Section 6 of the Terms applies at every Event exactly as it applies in the app. In addition, you agree to follow the venue's rules, the instructions of venue staff, and any safety briefing given, and to treat every attendee and every member of staff with courtesy.

We may decline to seat you, ask you to leave an Event, or end your membership for conduct that harms or endangers another person, damages property, breaches a venue's rules, or brings the house into disrepute. No refund is due where you are removed for conduct.

If something happens. If you are harmed, threatened, or made to feel unsafe at an Event, contact [email protected] and, where appropriate, emergency services and law enforcement. Report a safety concern about a member to us however small it seems.

10. Photography, recording, and how we may use your image

Between attendees. Do not photograph, film, or record another attendee without their agreement, and do not post or share an image or recording of another attendee without their agreement. This applies to everyone at every Event, including you.

Graxe may photograph an Event. We may arrange for photography or filming at an Event, by our own people or by a photographer we engage. Where we do, we will say so on the Event before you book, and the photographer will be identifiable at the Event.

The permission you give us. By attending an Event at which Graxe has said photography will take place, you grant Graxe.ai, Inc. a worldwide, royalty-free, non-exclusive, sublicensable licence to record, reproduce, edit, publish, and display your image, likeness, name, and voice as captured at that Event, in any medium, for the purpose of describing, promoting, and marketing Graxe and its Events. You are not entitled to payment, and you waive any right to inspect or approve the finished use.

The licence is non-exclusive on purpose. You keep every right to your own image and may license it to anyone else at any time. We take only what we need to show what a Graxe evening looks like.

How long it lasts. The licence runs while you are a member and for 24 months after your membership ends, after which it expires on its own.

You can withdraw it. Email [email protected] at any time and we will stop using your image in anything new and remove it from anything we control, within a reasonable time. Material already printed, distributed to third parties, or published beyond our control cannot always be recalled, and we will tell you honestly where that is the case. Withdrawing has no effect at all on your membership, your key, or your introductions.

You can also simply say no on the night. Tell the photographer or a member of Graxe staff at the Event and you will not be photographed. Nobody will ask you why.

Venue cameras. Venues may operate their own cameras and their own security recording under their own policies. Those are not ours and we do not control them.

11. Accessibility

Venues are independent and their accessibility is theirs to state and to provide. We will pass on what a venue has told us where we can, but we do not survey, verify, or warrant the accessibility of any venue, and we cannot commit a venue to any arrangement. If access matters to you, please contact the venue directly before you book, and tell us if we can help.

12. Assumption of risk, waiver, and release

Please read this Section carefully. It affects your legal rights.

Assumption of risk. You knowingly and voluntarily assume all risks of attending, participating in, and travelling to and from any Event, whether or not those risks are described in this Policy, and whether they arise from the activity itself, the condition of a venue, the conduct of any other attendee or third party, or the ordinary negligence of any party released below.

Waiver and release. To the fullest extent permitted by law, you release, waive, and discharge Graxe.ai, Inc. and its officers, directors, employees, contractors, and agents from any and all claims, demands, actions, damages, costs, and expenses of every kind, known and unknown, present and future, arising out of or in any way connected with an Event, including personal injury, illness, disability, death, allergic reaction, food-borne illness, emotional distress, and loss of or damage to property, and including claims founded on ordinary negligence.

Covenant not to sue. You agree not to bring any claim released by this Section, and you agree that this Policy may be pleaded as a complete bar to any such claim.

California residents. You waive California Civil Code Section 1542, which reads: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

What this does not cover. Nothing in this Policy excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by Graxe's own gross negligence, recklessness, or wilful misconduct, or for fraud or fraudulent misrepresentation. If any part of this Section is held unenforceable, it is limited only to the minimum extent necessary and the remainder continues in full force.

13. Limitation of liability

To the fullest extent permitted by law, and in addition to the limitation in Section 12 of the Terms, Graxe.ai, Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or relating to any Event. Our total liability for all claims connected with an Event will not exceed the amount you paid Graxe for that Event.

Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Graxe.ai, Inc. from claims, damages, losses, and expenses, including reasonable attorneys' fees, arising from your attendance at or conduct at an Event, your travel to or from one, any injury or damage you cause to another attendee, to venue staff, or to property, any claim brought against Graxe by a venue or partner because of you, and any breach by you of this Policy or of any law.

15. Disputes, governing law, and changes

The dispute resolution, arbitration, class action waiver, and governing law provisions in Sections 14 and 16 of the Terms of Service apply to this Policy and to any dispute about an Event, and are incorporated here in full.

We may change this Policy. Where a change is material we will tell you before your next booking, and the version you accept when you book is the version that governs that Event.
