Graxe Events Release
Effective date: October 16, 2026 · Draft of October 16, 2026, under counsel review · Version events-release-2026-10-16 · This release applies to every in-person event Graxe organizes, hosts, seats, or promotes.
Please read this release before you agree to it. It affects your legal rights. It includes an assumption of risk, a release of claims that includes claims caused by Graxe's own negligence, a promise not to sue, and a promise to pay for claims caused by your own conduct.
1. Who this release is between, and how you agree to it
This release is an agreement between you and Graxe.ai, Inc. ("Graxe", "we", "us"). You agree to it by ticking the box that says "I have read and agree to the Graxe Events Release": in the Graxe app before your first yes to a seat, or on a graxe.ai form before you sign up for an event. Graxe keeps a record of the version you agreed to and the time you agreed.
When we change this release, we give it a new version and ask you to agree to the new version before your next yes to a seat or your next event sign-up. The version you agreed to most recently applies to every Event you attend after you agreed to it.
2. What this release covers
This release covers every in-person event that Graxe organizes, hosts, seats, or promotes (each an "Event"), including:
- Graxe & Table dinners;
- Graxe Xperiences;
- Graxe Radiate events, including Rally for Recovery;
- any other Graxe evening, gathering, or outing, with or without a name;
- your travel to and from any Event, and the time you spend at the venue before and after it.
It applies whether or not you pay anything, and whether you attend as a member, a guest, a volunteer, or a member of the public.
3. What Graxe does and does not do at an Event
Graxe chooses who is invited or seated and arranges the booking. Graxe does not own, operate, or control the venues where Events take place. Graxe does not prepare or serve food, does not sell or serve alcohol, does not supply equipment, and does not provide instruction, supervision, security, first aid, or medical care, unless Graxe says in writing on the Event that it does.
Graxe does not control venues, venue staff, partners, other attendees, or members of the public, and is not responsible for what they do or fail to do. Unless Graxe tells you otherwise in writing, the people at an Event have not been verified or checked by Graxe. Even where Graxe checks something about a person, it cannot know how that person will behave. Inviting or seating someone is not a statement about them.
4. The risks of attending
Attending an Event involves risks. Some can be reduced. None can be removed completely. They include:
- Physical activity. Some Events include sports, games, walking, dancing, or other activity. You can be hurt by a fall, a collision, a ball, a paddle, other equipment, heat, overexertion, or a medical event such as a heart attack or stroke. Injuries can be serious, permanent, or fatal.
- Food and allergies. Venues prepare and serve food. Food can cause illness, and it can contain or touch an allergen even when a menu says it does not. Graxe does not pass allergies or dietary needs on to a venue. Tell the venue yourself.
- Alcohol. Venues may serve alcohol. Alcohol affects judgment, balance, and behavior, yours and other people's.
- Venues. Floors, stairs, lighting, parking areas, courts, furniture, and equipment at a venue may be in poor condition. Weather and the outdoors bring their own risks.
- Travel. Getting to and from an Event, by any means, carries the risk of accidents, delays, and incidents on the way.
- Other people. Other attendees, venue staff, partners, and members of the public may act carelessly, recklessly, or with intent to harm, including by committing crimes such as assault, sexual assault, theft, or fraud.
- Property. Your belongings may be lost, stolen, or damaged.
5. Your choice to attend, and assumption of risk
Attending an Event, and taking part in anything at it, is your choice. You decide whether you are fit to take part, how much to take part, and when to stop. You confirm that you have no medical condition that makes taking part a risk you are not willing to accept, or that you have asked a doctor first.
You understand the risks in Section 4, and risks that are not listed there, and you knowingly and voluntarily accept all of them.
6. Release, waiver, and promise not to sue
In this section, the "Released Parties" are Graxe.ai, Inc. and its officers, directors, employees, contractors, volunteers, and agents, and any nonprofit or community organization that Graxe names on an Event's page as a co-host of that Event, together with that organization's officers, directors, employees, and volunteers.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE, WAIVE, AND DISCHARGE THE RELEASED PARTIES FROM, AND YOU PROMISE NOT TO SUE THEM FOR, ANY CLAIM FOR INJURY, ILLNESS, DISABILITY, DEATH, EMOTIONAL DISTRESS, OR LOSS OF OR DAMAGE TO PROPERTY THAT ARISES FROM OR RELATES TO AN EVENT, INCLUDING YOUR TRAVEL TO AND FROM IT, INCLUDING CLAIMS CAUSED IN WHOLE OR IN PART BY THE NEGLIGENCE OF ANY RELEASED PARTY. YOU ARE GIVING UP CLAIMS FOR THE RELEASED PARTIES' OWN NEGLIGENCE.
THIS RELEASE ALSO COVERS CLAIMS THAT ARISE FROM THE ACTS OR OMISSIONS OF THIRD PARTIES, INCLUDING VENUES, VENUE STAFF, PARTNERS, OTHER ATTENDEES, AND MEMBERS OF THE PUBLIC, INCLUDING THEIR CRIMINAL ACTS, AND CLAIMS THAT A RELEASED PARTY SHOULD HAVE PREVENTED THOSE ACTS, WARNED YOU ABOUT THEM, OR PROTECTED YOU FROM THEM.
You agree that this release may be pleaded as a complete defense to any claim it covers. If you bring a claim this release covers, you agree to pay the reasonable attorneys' fees and costs the Released Parties spend defending it.
7. What this release does not cover
This release does not cover a claim caused by a Released Party's gross negligence or intentional misconduct, or any claim or right that cannot be waived under Texas law or under the law that applies to you.
8. Your conduct, and your promise to cover claims it causes
At every Event you agree to follow the venue's rules, the instructions of venue staff, and The Resonance Code. You agree to indemnify the Released Parties, which means to defend them and pay for any claim, loss, or expense, including reasonable attorneys' fees, that anyone else brings against them and that arises from your own conduct at an Event or on the way to or from one, including injury or damage you cause to another person or to property, and from your breach of this release or of the law.
9. Medical treatment
If you are hurt or become ill at an Event and cannot decide for yourself, you consent to emergency medical treatment, including transport to a hospital, arranged by venue staff, other attendees, Graxe staff or volunteers, or emergency services. You are responsible for the cost of any treatment and transport. Graxe does not provide medical care, does not pay for it, and does not provide insurance of any kind.
10. Age
Graxe & Table, Graxe Xperiences, and every Event for Graxe members are for adults 18 and over only.
Some Graxe Radiate events are open to people under 18. A person under 18 may attend a Graxe Radiate event only with a parent or legal guardian who is present at the Event and who agrees to this release on the minor's behalf and on their own behalf. A parent or guardian who agrees for a minor confirms that they have the legal authority to do so, and agrees to indemnify the Released Parties against any claim brought by or for the minor that this release covers.
11. Other terms that apply
For Graxe & Table and Graxe Xperiences, the Events Policy also applies. For a Graxe Radiate event, the event's own terms may add terms for that event, such as a venue's own waiver or a photo and video release. A venue's own waiver is separate from this release. Signing one does not replace the other. Where this release and another Graxe document both address the assumption of risk or the release of claims for an Event, this release governs.
12. Disputes and governing law
This release is governed by the laws of the State of Texas, without regard to its conflict of law rules. The dispute resolution, arbitration, and class action waiver provisions in the Terms of Service apply to any dispute about this release or an Event, and are incorporated into this release.
13. General
If any part of this release is found unenforceable, that part is limited to the minimum extent necessary and the rest remains in full effect. This release binds you, your heirs, executors, administrators, and assigns, and anyone who brings a claim on your behalf or on behalf of your estate.
California residents. You waive California Civil Code Section 1542, which reads: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
By ticking the box, you confirm that you are 18 or older (or a parent or guardian agreeing for a minor), that you have read this release, that you understand you are giving up legal rights, including the right to sue the Released Parties for their own negligence, and that you agree to it voluntarily.
